Directors' Declaration - Listing Rule 9.6.13 - 30 September 2005

Further to the announcement made on 27 September 2005 regarding the appointment of Mr Leslie Cullen to the Board of Interserve Plc ("the Company") with effect from 1 October 2005, the Company confirms that there are no details to be disclosed under Listing Rule 9.6.13R(2) to (6).

Pursuant to Listing Rule 9.6.13R(1), details of all directorships held by Mr Cullen in any other publicly-quoted company at any time in the previous five years, are set out below:-

• Avis Europe Plc

• DTZ Holdings Plc

Pursuant to section 324 of the Companies Act 1985 and Disclosure Rule 3.1.4R(1), Mr Cullen notified the Company on 27 September 2005 that he has a beneficial holding of 2,000 ordinary 10p shares in the Company, representing 0.002% of the Company's issued share capital.  The shares are registered in a nominee account in the name of Barclays Stockbrokers.
