Total Voting Rights and Capital - 22 December 2006

In accordance with the Transparency Directive’s transitional provision 6, the total voting rights and capital of Interserve Plc will be, at 31 December 2006, as follows:

Issued Ordinary 10p Shares:      123,739,262

The above figure of 123,739,262 shares may be used by shareholders as the denominator for notifications of voting control over the Company’s shares.

The Company does not hold any Ordinary 10p Shares in treasury and has no other category of share in issue.
